Terms of service

The plain-English version of how BreakCount works.

What BreakCount does

BreakCount is a profit and loss tool for live sellers on Whatnot. You import the Weekly Order Report you download from Whatnot's Seller Hub, add what you paid for each lot, and BreakCount works out a net profit for every show once its costs are in.

BreakCount is operated by Meridian AI Solutions Pty Ltd (ABN 87 693 331 887), based in Sydney, Australia.

BreakCount is not affiliated with or endorsed by Whatnot Inc.

Your account

You sign up and sign in through Clerk, either with email and password or with Google. You are responsible for keeping your login secure and for the accuracy of the costs and other details you enter. One account is meant for one seller business. You must be at least 18 to use BreakCount.

Plans and billing

BreakCount has a free Hobby plan and a paid Breaker plan. Breaker starts with a 14-day free trial. Stripe needs a card on file to start the trial, but you are not charged until it ends. Stripe handles all billing and payment processing for BreakCount. Prices are in US dollars and include GST where it applies.

You can change plans, update your card or cancel anytime from your account page. See our refunds page for what happens when you cancel.

The costs you enter

BreakCount calculates net profit from the order data you import and the costs you add. You are responsible for entering accurate costs. If a lot is missing a cost, BreakCount will not guess. The show's verdict shows as waiting until the cost is added. These are bookkeeping numbers, not tax or financial advice.

Your data

You can take your data with you at any time: go to Account and choose Export everything as CSV. This works on every plan. If you delete your account, we keep your data for 7 days, then we remove it permanently. See our privacy policy for more on how we handle your data.

Fair use

Use BreakCount for your own selling business. Do not misuse the service: no unlawful use, no attempts to reach another seller's data, no probing or disrupting the service, and no reselling access to it.

Ending the service

You can delete your account anytime from your account page. We can suspend or close an account that breaks these terms or does not pay for its plan. If we ever close an account for any other reason, we will give you notice and time to export your data first.

Your data and our software

The order data you import and the costs you enter are yours. You give us permission to store and process them so BreakCount can do its job for you, and nothing more. The BreakCount software, design and brand belong to us.

Service availability

We aim to keep BreakCount up and reliable, but we do not guarantee it will always be available or error-free. We will do our best to warn you about planned downtime.

Liability

Nothing in these terms excludes a guarantee or right you have under the Australian Consumer Law or any other law that cannot be excluded. Where the law lets us limit our liability for such a guarantee, we limit it to supplying the service again or refunding what you paid for it.

Beyond that, and to the extent the law allows, we are not liable for indirect or consequential loss, and our total liability for claims under these terms is capped at the amount you paid us in the 12 months before the claim.

Changes to these terms

We may update these terms as BreakCount changes. If we make a material change, we will let you know before it takes effect.

Governing law

These terms are governed by the laws of New South Wales, Australia, and disputes belong to the courts of New South Wales. If part of these terms turns out to be unenforceable, the rest still applies.
